IT Due Diligence - Presented by: Audrey Katcher, Diana Knapp, and Christine Leja

Today, Information Technology is intertwined in all business processes and services. Do you know your organization’s IT costs and business value? Hardware, software, and networks infuse the business environment yet many times the IT business value goes unnoticed until there is a pause in its service or unexpected spending. When businesses and organizations seek to merge, acquire, or sell businesses, IT Due Diligence is an integral component of the pre-deal assessments. Some of the key questions to consider are:  Will we own the technology?  Do we have to replace the technology? What information (including transactional and intellectual property) is important? Where is the information? Is it housed with unknown third parties (i.e. Dropbox)? Who has the control of the technology? Is there a limited group with access to “all”? Is there a key employee risk? (The loss of certain key individuals could be detrimental to the company.) Will we have a gap in IT skills post-deal? (If the entity is a carve-out, IT support may be lost.) Has there been downtime due to technology? Is the technology, such as the ERP, scalable? Do we have risk related to our web presence that will require additional spending? Join the AITP St. Louis Chapter on May 22, 2014 to hear the perspectives of RubinBrown and Le Com Enterprises, Inc. on knowing your organization’s IT business value using an IT Due Diligence assessment.

 

Speakers Background

Audrey Katcher, CPA, CISA brings you insights from years of IT Due Diligence analyses and Post Deal Advisory experiences, with a focus on risk mitigation, as well as CapEx and OpEx costs. Audrey is an IT advisor for companies on IT Strategy Committees, as part of the IT Due Diligence team, as an IT internal audit leader and as part of IT external audit. She developed global IT audit methodologies for PricewaterhouseCoopers for Sarbanes Oxley and for non-public IT audit assessment. Audrey is an active member of the Cloud Security Alliance and the AICPA Service Organization Controls initiatives.

Diana Knapp brings you the deeper insights on the ERP transitions. Diana is an IT advisor focusing on application implementation for companies on IT Strategy Committees, as part of the IT Due Diligence team, and as an ERP Implementer. She is involved in every aspect of implementation from needs analysis, to configuration, training and customization.

Christine Leja, CDP/CCP is CEO of Le Com Enterprises, Inc. focusing on CIO of Counsel Services and IT Due Diligence. Ms. Leja leads the CIO of Counsel Services practice providing IT business recommendations to organizations and businesses on pressing IT leadership issues and delivers CIO services as needed. In the IT Due Diligence practice with RubinBrown, she assesses and formulates IT business value recommendations for mergers, acquisitions, and buyouts. Chris was the first Chief Information Officer at Southwestern Illinois College and held IT leadership roles in other academic institutions and industry firms including the telecommunications vendor, AT&T. She directed and taught in the Masters of Management Information Sciences program at Benedictine University. During her past role as Vice-President of Le Com Enterprises, Inc., Chris brought to market several software products for the home and commercial marketplace. Her career includes publishing articles, white papers, and presentations. Chris Leja has been a member of AITP since 1981 and currently serves as the AITP St. Louis Chapter Liaison and is a member of the Association’s Treasurer Committee. This year, she earns the AITP Lifetime Diamond Award for her past AITP service.
